Terms of Service
These Terms of Service (“Terms”) govern participation in the Riley & Co. Community Dog Treat Program (the “Program”) and use of the services and website of Riley & Co. Dog Treats, operated by Spiratos Global LLC (“Riley & Co.,” “we,” “us,” or “our”). By enrolling in the Program, starting a complimentary trial, or purchasing a membership, you agree to these Terms on behalf of the organization you represent.
1. Eligibility
The Program is designed for banks, credit unions, and other financial institutions approved by Riley & Co. (each, an “Institution”). By enrolling, you represent that you are authorized to act on behalf of our Institution. Riley & Co. may verify an organization’s eligibility before shipping Program materials and may decline enrollment at its reasonable discretion.
2. Branch Membership
The Program is a recurring membership priced per participating branch location, unless otherwise expressly agreed in writing. An Institution may enroll one branch or multiple branches, and may add branches at any time at the then-current per-branch pricing. Current pricing is $199 per month per branch or $1,791 per year per branch, as stated at enrollment.
3. Complimentary 30-Day Trial
Riley & Co. offers eligible Institutions a complimentary 30-day trial of the Program. No payment method is required to begin a trial, and participating Institutions will not be automatically charged or enrolled in a paid membership when the trial ends. The 30-day trial period for each branch begins on the date the trial Program materials are delivered to that branch.
At the end of the trial, the Institution may choose to enroll in a paid monthly or annual membership. If the Institution chooses not to enroll, no further action is required: there is nothing to cancel and no membership fee will be charged.
Trials are limited to one per branch location. Riley & Co. may verify that a requesting organization is an eligible Institution before shipping trial materials, and may decline or discontinue a trial in cases of suspected misuse. A complimentary trial is separate from, and is not added to, a paid membership purchased directly through the website; Institutions that wish to begin with a trial should use the trial signup form rather than the paid enrollment checkout.
4. Fees, Recurring Billing, and Payment
By enrolling in a paid monthly or annual membership, the Institution authorizes recurring charges to the payment method provided at checkout. Monthly memberships renew each month and annual memberships renew each year until canceled in accordance with these Terms. We accept major credit cards and ACH bank payments. Payments are processed by our third-party payment processor; Riley & Co. does not store complete payment card information.
If pricing for the Program changes, the new pricing will apply beginning with the Institution’s next renewal, with reasonable advance notice.
5. Cancellation and Refunds
An Institution may cancel its membership at any time, with no cancellation fee. Cancellation takes effect at the end of the then-current paid billing period, and the membership will not renew for another billing period. Membership fees are generally non-refundable once a billing period has begun.

6. Program Materials and Displays
Membership includes recurring dog treat shipments, one or more Riley & Co. display stands and acrylic treat bins customized with the Institution’s name and logo, and monthly replenishment shipments intended to keep displays stocked. If a branch runs low on treats before its next scheduled shipment, Riley & Co. will send a complimentary replenishment shipment at no additional cost upon request. If a display stand or treat bin cracks, breaks, or goes missing, Riley & Co. will replace it free of charge.
Display stands and bins are provided for use during an active membership or trial. Customized materials may require additional preparation time before initial shipment.
7. Institution Name and Logo
To produce customized displays and related Program materials, the Institution grants Riley & Co. a limited, non-exclusive license to use the Institution’s name and logo solely for creating and providing those materials and, with the Institution’s prior approval, for identifying the Institution as a Program participant. Riley & Co. will follow any brand guidelines the Institution provides and will not use the Institution’s marks for any other purpose without written consent.
8. Products and Safety
Riley & Co. treats are made in the United States and produced in facilities that follow safety and quality standards applicable to pet food production. Treats are intended for consumption by dogs only and are not for human consumption. As with any treat, dogs should be supervised, and pet owners are responsible for determining whether a treat is appropriate for their dog. Riley & Co. maintains business and product liability insurance and applicable feed registrations; proof of insurance, W-9, and ingredient information are available to Institutions upon request.
9. Charitable Donations
Riley & Co. donates 50% of its profits to animal shelters located in the communities served by participating Institutions’ branches. Donations are made quarterly, and reporting documenting these donations is overseen by Anthony V. Ricci, CPA, Inc. and available to participating Institutions upon request. Donation amounts depend on Program profitability for the applicable period. Riley & Co.selects recipient shelters and will consider suggestions from participating Institutions.
10. Shipping
Institutions are responsible for providing complete and accurate shipping information for each participating branch. Welcome kits typically ship within 3–4 business days of enrollment; customized displays may require additional preparation time. Delivery times may vary depending upon destination, carrier conditions, customization requirements, and circumstances outside Riley & Co.’s reasonable control.
11. Changes to the Program or These Terms
Riley & Co. may modify Program features or these Terms from time to time. Material changes will be posted on this page with an updated effective date and will apply prospectively, as required by applicable law. Continued participation in the Program after changes take effect constitutes acceptance of the updated Terms.
12. Disclaimer and Limitation of Liability
Except as expressly stated in these Terms, the Program and all products are provided “as is” without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, Riley & Co. and Spiratos Global LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the Program, and our total liability for any claim will not exceed the amounts paid by the Institution for the Program during the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Program will be resolved in the state or federal courts located in Charleston County, South Carolina, and the parties consent to the jurisdiction of those courts.
